This is a legally
binding agreement between YOU (herein
referred to as 'Client') and Amazing
Video Tours (herein referred to as
'AVT'). This agreement is for the
LEASING of video material produced
by AVT.
Client understands
that they are entering into a legal
agreement to lease video material
from AVT on a Quarterly basis, paid
up front as a recurring charge at
the beginning of each 90 day period.
AVT will maintain ownership of the
video and be responsible for hosting
(on the site of their choice), and
maintenance.
It is the Client's
responsibility to ensure that their
existing website will allow Embedded
Code for video. Please check with
your website provider prior
to signing up with AVT. Client
understands that NO disk, or file
of any kind will be delivered as part
of the final product. AVT will
deliver final product (Embedded Code)
to Client for the purpose of placement
on Client's website or blog.
Client understands
that they will have non exclusive
use of the video material and that
content within the video will be sold
to multiple clients. Any introduction
/ conclusion content including the
Client will be exclusive to their
video.
Client understands
they are to provide AVT a branding
photo, branding logo, and contact
information to appear for no more
then 5 seconds at the beginning and
at the end of the video.
If Client selects
OPTION of being filmed to do an introduction
/ conclusion to the video, AVT will
travel to a location of choice specified
by the Client (not to exceed 35 miles
from Uptown Charlotte) as part of
the set up fee. Final intro video
will not exceed 20 seconds and closing
not to exceed 10 seconds. AVT agrees
to travel one (1) time to shoot "on
location". If subsequent travel is
required, AVT will charge $50 per
hour.
Client has the right
to select alternate music for their
video at their own cost. Royalty Free
Music may be purchased at www.RoyaltyFreeMusic.com.
AVT will not host videos with Licensed
music. Any Royalty Free Music purchased
by the Client is required to be delivered
to AVT as part of original set up,
and NOT after video has been edited,
compiled, and uploaded to the server.
Client is required to provide AVT
with proof of purchase of the Royalty
Free Music.
AVT agrees to perform
tasks assigned in accordance with
the package selected and deliver a
first proof within 5 business days
of the date of receipt of introduction
/ conclusion materials from Client.
Client will be permitted
one (1) proof cycle prior to final
delivery of product as part of set
up fee. Client agrees that any changes
to the video (after the first proof
cycle) will incur a $50 per hour charge
with a 2 hour minimum due to encoding
(video compiling) and uploading to
web server.
The first Quarterly
Payment is expected prior to any final
product being delivered to the Client.
The Quarter will officially begin
after Client accepts final proof and
makes payment to begin quarter. If
payment is not received, AVT will
suspend editing and hold final product
until payment is made.
Client may terminate
service at anytime for the FOLLOWING
quarter. No refunds will be distributed
for mid quarter terminations. If Client
wishes to terminate service, they
may do so by sending a termination
request email to billing@amazingvideotours.com
Client agrees to allow
AVT to have a production credit at
the beginning and the end of the video.
AVT reserves the right
to terminate video service in the
event they are unable to obtain payment
from Client.
AVT reserves the right
to make minor modifications to the
video material (for improvement and
otherwise) during the course of this
agreement with or without the consent
of the Client.
This is an agreement
between Client and AVT. Client agrees
to indemnify and hold AVT harmless
from any future disputes that may
arise between Client and any other
party.
